These Terms of Use ("Terms") govern your use of www.goodlocal.com, Good Local city pages, email newsletters, and related services operated by Good Local, LLC ("Good Local," "we," "us," or "our"), collectively the "Services." By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. About Good Local

Good Local operates a network of city-specific newsletters and local content services. Our content may include local news summaries, events, things to do, restaurants, businesses, openings and closings, deals, recommendations, community information, advertisements, sponsored content, affiliate links, and other local information.

Some content is selected or created editorially by Good Local. Some information may be submitted by businesses, event organizers, public agencies, community members, or other third parties. Some placements are paid advertising.

2. Eligibility

The Services are intended for users who are at least 13 years old. You must be at least 18 years old and legally able to enter into contracts to purchase advertising, enter into a commercial agreement with Good Local, or submit content on behalf of a business or organization.

3. Newsletter Subscriptions

Good Local newsletters are generally provided free of charge to readers. When you subscribe, you agree to receive emails associated with the city or newsletter you selected. You can unsubscribe using the link included in our emails.

We aim to provide newsletters on the schedule described for each publication, but delivery schedules may change. We may add, discontinue, combine, rename, or modify city newsletters at any time.

4. Local Information Changes

Local information changes quickly. Events may be postponed or cancelled. Businesses may change hours, prices, menus, availability, policies, or locations. Promotions may expire. Ticket availability, road conditions, public services, weather, and government information may change without notice.

Although Good Local works to provide useful and timely information, we do not guarantee that every fact, date, price, address, opening time, offer, recommendation, event listing, or other item is complete, current, or error-free. Verify important information directly with the relevant business, organizer, agency, venue, or other source before relying on it.

5. Editorial Decisions

Good Local retains editorial discretion over non-sponsored coverage, including what to cover, what not to cover, where content appears, how it is written, how long it remains available, and whether content is edited, updated, corrected, or removed.

Submission of a business, event, deal, announcement, restaurant, venue, activity, story idea, or other item does not guarantee publication. Unless Good Local has entered into a written paid advertising agreement, there is no obligation to publish submitted material.

6. Advertising and Sponsored Content

Good Local is supported in part by advertising and sponsorships. Businesses and other organizations may pay for newsletter advertising, sponsorships, enhanced directory placement, sponsored content, featured placements, or other promotional opportunities.

Paid placement may affect where and how prominently sponsored material appears. Good Local will identify paid or sponsored material where appropriate so readers can distinguish advertising from ordinary editorial content. The presence of an advertisement does not mean Good Local guarantees or assumes responsibility for the advertiser, its products, its services, or its claims.

Additional advertising terms, insertion orders, proposals, or other agreements may apply to advertisers. If those terms conflict with these Terms regarding a specific advertising relationship, the specific written advertising agreement controls.

7. Affiliate Links

Good Local may participate in affiliate programs. We may receive a commission or other compensation if you click certain links and make a purchase, reservation, booking, or other qualifying transaction. Appropriate disclosures will be provided where required.

The existence of an affiliate relationship does not make Good Local the seller or provider of the third-party product or service. Your transaction is with the relevant third party and is governed by that party’s terms and policies.

8. Business, Event, and Community Submissions

Good Local may allow businesses, event organizers, organizations, individuals, and other third parties to submit events, deals, openings, announcements, images, logos, descriptions, links, contact information, or other material for possible publication.

By submitting material, you represent and warrant that the information is accurate to the best of your knowledge; you have authority to submit it; you have all rights and permissions necessary for Good Local to use it; its use will not infringe another party’s rights; and the submission is not fraudulent, deceptive, defamatory, unlawful, or misleading.

9. License to Submitted Material

You retain whatever ownership rights you have in material you submit. By submitting material to Good Local for possible publication, you grant Good Local a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to host, reproduce, publish, display, distribute, edit, crop, resize, format, adapt, excerpt, and otherwise use the material in connection with Good Local and its promotion.

This license includes use on Good Local websites, newsletters, social media, marketing materials, archives, and other Good Local distribution channels. Good Local is not obligated to publish submitted content or provide compensation for editorial submissions unless we expressly agree otherwise in writing.

10. Promotions and Offers Submitted by Businesses

If you submit a coupon, promotion, discount, giveaway, special offer, contest, or similar promotion, you are responsible for ensuring that its terms are accurate, restrictions and expiration dates are disclosed, availability statements are truthful, the promotion complies with law, and the business honors the promotion as represented.

11. Third-Party Businesses and Transactions

Good Local introduces readers to businesses, restaurants, events, venues, products, services, and websites operated by third parties. Unless expressly stated otherwise, Good Local is not a party to transactions between you and those third parties and does not control third-party products, pricing, reservations, ticketing, refunds, customer service, safety, accessibility, availability, warranties, privacy practices, or conduct.

12. Recommendations Are Not Guarantees

Good Local may describe something as a favorite, recommendation, pick, place to try, thing to do, new opening, popular destination, or similar designation. Preferences are subjective. A recommendation does not guarantee that you will have the same experience or that a business, product, event, venue, service, or activity is appropriate for you.

13. Safety and Emergencies

Good Local is an informational publishing service. Do not rely on Good Local for emergency alerts, evacuation orders, severe-weather warnings, public-safety instructions, medical advice, legal advice, financial advice, or other time-sensitive professional or emergency information. For emergencies, use appropriate official and emergency services.

14. Intellectual Property

The Services, including Good Local’s original text, design, branding, graphics, layouts, newsletters, compilations, databases, logos, and other original materials, are owned by or licensed to Good Local and are protected by intellectual property laws.

Unless expressly permitted, you may not reproduce, republish, sell, license, distribute, scrape, create a competing database from, or commercially exploit substantial portions of the Services. You may share links to publicly accessible Good Local content and make reasonable personal, noncommercial use of the Services.

15. Automated Access and Scraping

Except as expressly authorized by Good Local or permitted through standard search-engine indexing consistent with our technical instructions, you may not use bots, scrapers, crawlers, automated extraction tools, or similar technologies to systematically copy Good Local content, build a competing local directory or publication, harvest personal information, circumvent access restrictions, or interfere with the Services.

16. Prohibited Conduct

You may not use the Services to violate applicable law, impersonate another person or organization, submit false or misleading information, infringe intellectual property or privacy rights, introduce malware, interfere with website security or operation, attempt unauthorized access, harvest personal information, send spam, manipulate advertising or analytics, submit fraudulent business information, or promote illegal activity.

17. Copyright Complaints

Good Local respects intellectual property rights. If you believe material available through Good Local infringes your copyright, send a notice to hello@goodlocal.com with enough information for us to identify the copyrighted work, locate the allegedly infringing material, understand the basis of your claim, and contact you.

If Good Local registers a designated DMCA agent with the U.S. Copyright Office, the designated agent’s current contact information should also be published here.

18. Corrections

If you believe a story, listing, event, business description, address, date, or other item contains a factual error, contact hello@goodlocal.com. Good Local retains editorial discretion regarding whether and how to make a correction, clarification, update, or removal.

19. Privacy

Our collection and use of personal information are described in our Privacy Policy.

20. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” GOOD LOCAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. GOOD LOCAL DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ACCURATE, COMPLETE, CURRENT, OR ERROR-FREE.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOOD LOCAL AND ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY ARISING FROM OR RELATING TO THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOOD LOCAL’S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO GOOD LOCAL FOR THE RELEVANT CONSUMER SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100. Different liability provisions may apply under a separate written advertising or commercial agreement.

22. Indemnification

If you submit material on behalf of a business or organization, purchase advertising, or otherwise use the Services for commercial purposes, you agree, to the extent permitted by law, to indemnify and defend Good Local against third-party claims, damages, liabilities, costs, and expenses arising from your submitted material, products, services, advertisements, offers, promotions, violation of these Terms, violation of law, or infringement of another party’s rights.

23. Suspension and Termination

Good Local may suspend, restrict, or terminate access to the Services where reasonably necessary to protect Good Local, our users, our systems, or third parties, or in response to violations of these Terms. We may also modify or discontinue any part of the Services.

24. Changes to These Terms

We may update these Terms from time to time. The updated Terms will be posted with a revised “Last Updated” date. Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.

25. Governing Law

These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles. Subject to applicable law, disputes arising under these Terms will be brought in the state or federal courts located in King County, Washington, and you consent to the jurisdiction of those courts. Nothing in this section eliminates rights that cannot legally be waived under applicable consumer law.

26. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

27. Entire Agreement

These Terms, together with the Privacy Policy and any other applicable written terms, constitute the agreement between you and Good Local regarding your use of the Services. A separate advertising agreement, insertion order, proposal, or commercial agreement may contain additional terms governing a specific business relationship.
